1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Mega Tickets USA website, mobile applications, and related services (collectively, the "Service"), operated by Mega Tickets USA LLC, a Florida limited liability company ("Mega Tickets USA," "we," "us," or "our").

By creating an account, purchasing a ticket, listing an event, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business or other legal entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Service.

2. Definitions

• Attendee means a person who purchases or receives a ticket to an Event through the Service.
• Event means the concert, festival, sporting event, conference, meetup, or other experience listed on the Service by an Organizer.
• Organizer means the individual or entity that creates, publishes, and is responsible for the delivery of an Event, including all logistics, venue, performance, and refund obligations specific to that Event.
• Ticket means the digital entitlement sold through the Service that permits the Attendee to attend the Event.
• Fees means the amounts described in Section 6.
• Organizer Services Agreement means the separate contract between an Organizer and Mega Tickets USA that governs the commercial relationship, available at /legal/organizer-agreement.

3. The Service

Mega Tickets USA provides a platform through which Organizers list Events and sell Tickets, and Attendees discover, purchase, transfer, resell, and use those Tickets. The Service includes a web application, iOS and Android mobile applications, a staff check-in application, and an organizer dashboard.

The Service also includes optional features such as Mega Dating and Mega Connect (networking), which are subject to these Terms and any additional terms presented in-product.

4. Merchant of Record

For Events delivered within the United States, Mega Tickets USA acts as the Merchant of Record. This means:

• Mega Tickets USA is the seller of record in each Ticket transaction with the Attendee and appears on the Attendee's card statement as the merchant.
• Mega Tickets USA collects the Ticket price plus applicable Fees and taxes, processes the payment through its payment processor, and holds the funds on behalf of the Organizer until the applicable hold period has elapsed and a payout is requested and processed under the Organizer Services Agreement.
• Mega Tickets USA is responsible for issuing IRS Form 1099-K to qualifying Organizers. See 1099-K Notice.
• Mega Tickets USA is not the producer of the Event. The Organizer is solely responsible for the delivery, performance, and quality of the Event, and for compliance with all laws applicable to that Event (including without limitation venue licensing, local taxes, safety, permits, ADA access, age restrictions, and alcohol laws where applicable).

Nothing in these Terms creates an employment, agency, joint venture, franchise, or partnership relationship between Mega Tickets USA and any Organizer. Each party is an independent contractor.

5. Eligibility and Accounts

You must be at least 18 years old to create an account or purchase Tickets. The Service is currently offered to residents of the United States. International availability is limited and may require additional verification.

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at security@megaticketsusa.com if you suspect unauthorized access.

Mega Tickets USA may, at its discretion and without liability, refuse to create an account, suspend an account, or terminate an account pursuant to Section 21.

6. Fees and Payment

For each Ticket sold through the Service:

• Service Fee (Mega Tickets USA): 2% of the Ticket face value plus $0.99 per Ticket. This is retained by Mega Tickets USA.
• Payment Processing Fee: The fee charged by our payment processor (currently Square), estimated at 2.9% of the charge plus $0.30 per transaction. This is added to the Attendee's total at checkout unless otherwise disclosed.
• Applicable Taxes: Sales tax, use tax, amusement tax, or other taxes required by the jurisdiction of the Event or the Attendee.

The total amount charged to the Attendee ("Charge Amount") is the Ticket face value plus the Service Fee plus the Payment Processing Fee plus applicable taxes. The Charge Amount is displayed prior to checkout; by completing the purchase, the Attendee agrees to pay the full amount.

All amounts are in U.S. Dollars unless otherwise stated. Fees are non-refundable except as described in Section 7.

7. Refunds

Refunds are governed by our Refund and Cancellation Policy, which is incorporated by reference. In summary:

• Attendees may request a refund within 14 days of purchase, subject to the limits described in the Refund Policy.
• No refund is available within 24 hours of the Event or after an Attendee has been checked in.
• If an Organizer cancels an Event, Attendees are entitled to a full refund of the Charge Amount. The Organizer is financially responsible for such refunds under the Organizer Services Agreement.
• In the event of force majeure, Mega Tickets USA may offer refunds, credits, or rescheduling at its reasonable discretion.

8. Mega Payments — Installment Plans

"Mega Payments" is an optional feature that allows an Attendee to reserve a Ticket and pay for it in scheduled installments rather than in a single payment at checkout. Mega Payments is offered at the sole discretion of Mega Tickets USA, may not be available for every Event, and is subject to this Section 8 in addition to the rest of these Terms and the Refund and Cancellation Policy.

8.1 How an Installment Plan Works

• When you select Mega Payments at checkout, the Service displays the total Ticket price, the number of installments, and the amount of each installment before you confirm. By confirming, you agree to complete the entire plan on the terms shown.
• The first installment may be collected at checkout through our standard payment processor (for example, by card). Remaining installments are paid by you through the manual payment methods we make available for Mega Payments, which may include Zelle, Venmo, Cash App, and PayPal ("Manual Payment Methods"). The Manual Payment Methods available to you are shown in the Mega Payments screen inside the Mega Tickets USA app.
• For each installment paid by a Manual Payment Method, you must submit proof of payment (such as a screenshot or image of the transaction) through the app. Mega Tickets USA reviews each submission manually, and an installment is only credited as paid after we approve the proof you submitted. If a proof is rejected (for example, because it is unreadable, incomplete, or does not match the expected amount), you will be asked to resubmit, and the installment remains unpaid until an acceptable proof is approved.
• Installments are personal to the Attendee who created the plan and are not transferable. You may not assign or transfer an installment plan to another person.

8.2 Ticket Issuance and Validity

A Ticket purchased through Mega Payments is not fully issued, valid, or admissible for entry until the installment plan is paid in full and every installment has been verified by Mega Tickets USA. Reserving a Ticket through Mega Payments holds your spot, but completion of the plan is a condition of the Ticket becoming valid. Mega Tickets USA is not responsible for denied entry where a plan has not been completed and verified.

8.3 Completion Deadline

Your installment plan must be paid in full — with all installments submitted and verified by Mega Tickets USA — no later than seven (7) days before the date of the Event. You are responsible for submitting each payment and its proof early enough to allow time for manual review before this deadline. Payments or proofs submitted too late to be verified before the deadline may not be credited in time and may result in cancellation under Section 8.4.

8.4 Non-Payment and Cancellation

If your installment plan is not paid in full and verified by the deadline in Section 8.3, the following applies:

• Your Ticket and the associated order are cancelled and the Ticket is released for resale;
• The amounts you have already paid and which have been verified are refunded to you less a cancellation fee equal to twenty percent (20%) of those amounts; in other words, you receive a refund of eighty percent (80%) of the verified amounts paid, and Mega Tickets USA retains the remaining twenty percent (20%) as a cancellation fee, to the extent permitted by applicable law;
• Refunds are issued using the same method by which each installment was paid (for example, an installment paid by Zelle is refunded by Zelle; an installment paid by card is refunded to that card through our payment processor). Amounts paid through Manual Payment Methods are refunded manually and may take a reasonable period to process.

The cancellation fee reflects the administrative cost of operating, manually verifying, holding, and re-releasing an installment-reserved Ticket. The cancellation and refund terms in this Section 8.4 apply specifically to Tickets reserved through Mega Payments and override the standard refund mechanics in Section 7 to the extent of any conflict. See the Refund and Cancellation Policy for further detail.

8.5 Voluntary Refund Requests Before the Deadline

If you wish to cancel a Mega Payments plan before completing it, contact us at contact@megaticketsusa.com. Voluntary cancellations are handled under the Refund and Cancellation Policy and, where applicable, the standard refund window in Section 7; the 20% cancellation fee in Section 8.4 applies to plans cancelled for non-payment as described above.

8.6 Event Cancellation During an Active Plan

If an Organizer cancels the Event while your installment plan is still active, you are entitled to a refund of the verified amounts you have paid toward that plan, without the 20% cancellation fee, consistent with Section 7 and the Refund and Cancellation Policy. You are not obligated to continue making installment payments toward a cancelled Event.

8.7 No Credit, No Interest

Mega Payments is a scheduled-payment reservation feature, not a loan or an extension of credit by Mega Tickets USA, and Mega Tickets USA does not charge interest on installments. Any fees charged by a Manual Payment Method provider or by our payment processor are governed by that provider's own terms.

9. Chargebacks and Disputes

Disputes raised with the Attendee's card issuer ("Chargebacks") are handled per our Dispute and Chargeback Policy. Mega Tickets USA defends all Chargebacks in good faith using the evidence collected by the Service (including IP, device fingerprint, QR scan records, and check-in logs).

Where a Chargeback is caused by an act or omission of the Organizer (including without limitation cancelling the Event, delivering an Event that materially differs from its advertised description, or failing to provide a lawful venue), the Organizer is financially responsible for the Chargeback amount plus the Chargeback fee described in the Organizer Services Agreement.

10. Organizer Responsibilities

In addition to the terms set forth in the Organizer Services Agreement, each Organizer represents, warrants, and agrees that:

• The Organizer owns or has all necessary rights to produce and sell Tickets to the Event.
• The Event description, dates, venue, performers, and pricing are accurate and not misleading.
• The Organizer will deliver the Event as described or issue refunds as required.
• The Organizer complies with all applicable local, state, and federal laws, including but not limited to consumer protection laws, tax laws, ADA accessibility requirements, and alcohol and amusement regulations.
• The Organizer will provide a valid IRS Form W-9 (or W-8BEN if non-U.S.) prior to requesting a payout.

11. Attendee Responsibilities

• You are responsible for providing accurate purchase, contact, and verification information.
• You will not resell a Ticket outside the Service's resale marketplace except where expressly permitted.
• You will comply with venue and Event rules, including age and ID requirements.
• You will protect your digital Ticket and QR code and not share it with anyone other than the intended Attendee.

12. Prohibited Conduct

You may not, and may not attempt to:

• Use the Service for fraud, money laundering, or any illegal purpose;
• Create an Event for a fraudulent, non-existent, or deceptive performance;
• Circumvent fees, security controls, or verification mechanisms, including the selfie verification for sensitive actions;
• Use bots, scrapers, or automated tools to purchase Tickets in excess of per-Attendee limits or to interfere with the Service;
• Resell Tickets outside the Service's authorized marketplace, or sell Tickets at prices in violation of applicable anti-scalping laws;
• Upload content that is unlawful, defamatory, infringing, obscene, or harmful;
• Reverse engineer or attempt to extract source code from the Service.

13. User Content and License

You retain ownership of any content you submit to the Service (photos, event descriptions, profile information). By submitting content, you grant Mega Tickets USA a worldwide, royalty-free, non-exclusive, sublicensable license to host, display, and distribute that content solely to operate and promote the Service and your Event, and to enforce these Terms.

14. Intellectual Property

The Service, including all software, designs, trademarks, and logos (except user content), is owned by Mega Tickets USA and protected by U.S. and international intellectual property laws. You receive no license to any trademark of Mega Tickets USA except as necessary to use the Service.

15. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share personal information, including for tax reporting and payment processing.

16. Disclaimers of Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEGA TICKETS USA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

MEGA TICKETS USA IS NOT THE PRODUCER OF ANY EVENT. WE DO NOT WARRANT THE QUALITY, SAFETY, OR DELIVERY OF ANY EVENT, WHICH IS THE SOLE RESPONSIBILITY OF THE ORGANIZER.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEGA TICKETS USA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICE, (B) ANY CONDUCT OR CONTENT OF AN ORGANIZER, ATTENDEE, OR THIRD PARTY, OR (C) THE CANCELLATION, POSTPONEMENT, OR DELIVERY OF ANY EVENT.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF MEGA TICKETS USA EXCEED THE GREATER OF (I) THE AMOUNTS YOU PAID TO MEGA TICKETS USA IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100.00).

18. Indemnification

You agree to indemnify, defend, and hold harmless Mega Tickets USA and its affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your breach of these Terms, (b) your User Content, (c) if you are an Organizer, any claim arising from your Event, or (d) your violation of any law or third-party right.

19. Governing Law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles, and by applicable U.S. federal law. Subject to Section 20 (Arbitration), the state and federal courts located in Miami-Dade County, Florida shall have exclusive jurisdiction over any disputes that are not subject to arbitration.

20. Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service, except as set forth below, shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in English in Miami, Florida, or remotely by video hearing at the election of either party.

Class Action Waiver. You and Mega Tickets USA agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate or join the claims of more than one person or party.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to legal@megaticketsusa.com within 30 days of first agreeing to these Terms. The notice must state your name, email, and the date you first accepted these Terms.

Exceptions. Either party may bring (a) an individual action in small-claims court or (b) an action seeking injunctive relief to protect intellectual property rights. This Section 20 does not waive any right you have under applicable consumer protection laws that cannot be waived by contract.

21. Suspension and Termination

We may suspend or terminate your account at any time, with or without cause, with reasonable notice where practicable. We may terminate immediately and without notice where you have violated these Terms, engaged in fraud, or created risk to other users or to Mega Tickets USA. Upon termination, your right to use the Service ends; however, sections that by their nature should survive termination (including fees owed, indemnification, and disclaimers) will survive.

22. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced via the Service and, where required by law, by email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance. Organizers may be required to re-sign the Organizer Services Agreement upon material changes.

23. Miscellaneous

Entire Agreement. These Terms, together with the Organizer Services Agreement (if applicable), the Refund Policy, the Dispute Policy, and the Privacy Policy, constitute the entire agreement between you and Mega Tickets USA regarding the Service.

Severability. If any provision is held invalid, the remaining provisions will remain in full force.

No Waiver. Our failure to enforce any right or provision is not a waiver.

Assignment. You may not assign these Terms without our prior written consent. We may assign freely.

Force Majeure. Neither party is liable for delay or failure to perform due to causes beyond its reasonable control.

Electronic Communications. You consent to receive communications from us electronically.
